Ralstead Foodscapes Terms + Conditions

Payment

Installation Projects: Ralstead Foodscapes requires a 50% deposit of the total estimated project cost and a signed contract for work to begin. Payment in full of the remaining balance is due upon delivery of the completed project.

Design, Coaching, and Maintenance: Upon the signing of this agreement by both parties, the Client agrees to pay the full fee as outlined herein. An invoice for the full fee shall be issued upon execution of this agreement.

Any additional expenses incurred beyond the scope of this agreement shall be agreed upon by both parties in writing and reimbursed by the Client.

There will be a finance charge of 1.5% per month (18% annually) on all balances over 30 days past due. Quotes exclude applicable state and local taxes.

Plant Guarantee and Selection
Ralstead Foodscapes guarantees that we provide healthy plants well-suited to their environment.

We are not responsible for plant losses caused by extreme and unseasonable weather conditions, neglect, or damage from pests or diseases. If a proposed plant is unavailable, the client and contractor will decide on a suitable replacement whenever possible.

Plants or planting materials may not be returned once installed.

Building Regulations
It is the client's responsibility to obtain any applicable permits and/or co-op board approvals for installations. Ralstead Foodscapes will abide by any regulations or specifications to which we are advised unless instructed otherwise in writing.

Clean up
Ralstead Foodscapes will bag all debris and discard as instructed, but limited to the premises of the Client.

Liability
Contractor and Client acknowledge that Contractor is not liable for damages or injuries caused directly or indirectly by the effects of weather or Client’s failure to secure products or plants appropriate for the climate and location, including water, condensation, moisture, seepage, or overflow from any plantings, materials, or garden beds to Client’s property and will hold Contractor harmless for any damage or injury resulting to Client or anyone not a party to this Agreement. Client acknowledges Contractor shall not be liable for any damages caused by “third parties”, which includes, but not limited to, a skilled manual laborer, tradesman, irrigation specialist, licensed pesticide professional, arborist, delivery service from nursery, or other independent contractor, which may provide services with reference to this Proposal.

Reproduction of Work
Ralstead Foodscapes retains the right to use imagery of the completed project for promotional and portfolio purposes.

Rescheduling, Cancellations, and Delays
Rescheduling or canceling work within 24 hours of the scheduled time may result in fees. Cancellations of plant or material orders are subject to a 20% restocking charge. Deposits are partially refundable, minus any non-recoverable expenses, restocking fees, and compensation for time already spent by the Contractor on project planning, coordination, or communication. Design fees are refundable only for unbilled hours, based on time not yet spent on design work. Once design deliverables have been shared, no refunds will be issued for that portion of the project. Custom carpentry or planter orders cannot be cancelled or returned once work has begun or been installed. Coaching and Maintenance Packages are nonrefundable.

The arrangement is terminable by either party at any time, provided that mutual commitments are met up to and including the date of termination.

This Agreement constitutes the entire Agreement between Contractor and Client, including the cost of Contractor’s services and products, and any addendum attached to this Agreement.

This Agreement shall be governed in accordance with the laws of the State of North Carolina.
